Engagement terms
These are the standard terms for projects with TrigunAI Innovations Private Limited, Patna, India. The written scope for your project (a statement of work, or an Upwork contract if you hire us there) adds the details and wins if the two differ.
Scope and acceptance
- Every fixed-price project has a written scope with deliverables and acceptance targets (for example latency, throughput, cost per request or answer quality), agreed before work starts.
- You have 5 working days after handover to test against the targets. If something misses a target, we fix it at no extra cost. Without a reply in that time, the milestone counts as accepted.
- If a target turns out not to be reachable on your budget or hardware, we tell you as soon as we know and agree a new plan before spending more.
- New requests outside the scope are quoted separately or billed hourly, only after you approve them.

Invoices are in US dollars and due within 7 days. Bank charges on your side are yours. Cloud, GPU and software licence costs (such as NVIDIA AI Enterprise) are billed to your own accounts by those providers.
Access and security
- We work in your accounts with access you grant and can revoke. We start in a staging or development environment.
- We never ask for passwords or root keys over chat or email, and we keep any credentials you give us in a password manager.
- You stay responsible for your production systems, backups and the decisions to release changes to production.
Ownership
- Code, configuration and documents we write for you become yours when the related invoice is paid.
- We may reuse our general know-how and our own pre-existing tools; where they are part of your delivery, you get a perpetual licence to use them.
- Open-source software and third-party models stay under their own licences. We tell you the licence of each model and component we use, so you can check commercial use.
Confidentiality
We keep your information confidential and use it only for your project. We will sign your NDA, or ours, before the first call if you want. We mention you as a client or show your project only with your written permission.
Liability
We do careful, professional work, but AI systems can produce wrong output and cloud services can fail. Our total liability for a project is limited to the fees you paid for it. Neither side is liable for indirect losses such as lost profit.
Ending a project
Either side can end a project with 7 days' written notice. You pay for work done up to that point, and we hand over everything completed so far.
Upwork
If you hire us through Upwork, Upwork's terms and contract apply to that engagement, and if we first met you there, we keep all work and payments on Upwork.
Law
These terms follow the laws of India. Disputes are first discussed in good faith, and then go to the courts of Patna, Bihar.
